JEMSU™ WEB SCOPE CONTRACT
This contract is being entered into by the client specified on line [1] of the signed Proposal (here after known as Client), and JEMSU, Llc. on the date indicated on line [1A].
URL Name. The following URL has been agreed upon by the Client and JEMSU™ found on line [8B] of the proposal.
Scope of Work. In the design of this proposed website, JEMSU™ and Client, have agreed to develop up to 7 pages, found on line [4D] of the proposal. These pages will include the specifications are outlined in Section [4] of the proposal. If there are any additional requirements requested from the Client, the requirements will be agreed upon between JEMSU™ and Client.
Additional requirements can therefore require additional fees, which must be agreed upon in writing prior to starting work. The fees can vary depending on how many alterations there are and how complicated they are to make. The work is scheduled to be completed by the date found on line [5A] of the proposal. Delays out of JEMSU’s control may delay the process. This includes delayed delivery of content (such as text, images, video, logo, etc.) to be provided by the client.
Amendments and Revisions. The design of this webpage(s) will be specified to the requests of the Client. The webpage will be presented upon its completion and approved by the Client before it is officially completed and launched. A maximum number of revisions found on line [6A] of the proposal to the website design may be requested. Once these revisions are completed, if there are additional revisions that need to be made, a new agreement will be formatted with additional fees paid by the Client. Differences in opinion in artistic direction cannot be controlled; however JEMSU™ designers and artists will use their experience and judgment to complete a website which resembles the Clients’ visions as closely as possible.
Client Delays. If for any reason there is a delay greater than three (3) business days in conveying any required material, images, login information, or content from the Client to JEMSU™ that is required to complete the project by the specified date on line [5A] of the proposal , the Client will be responsible to pay the remaining balance of the website on that date. The website will still be completed as information or material becomes available.
Copyrights. The website(s) that will be designed will be owned by the Client unless otherwise noted. It will be controlled or managed by the Client unless otherwise noted. Therefore, final say of content changes will be made by the Client unless otherwise noted. JEMSU™ is not responsible for copyright infringement laws for content, photographs, or videos provided by or approved by the Client. Please be certain images and content are permitted for use on your website.
Limitation of Liability. JEMSU™ agrees to complete the website to their specifications and requirements by the agreed upon date above. Any additional revisions which are considered outside of this agreement will require a new agreement and additional fees. If the Client does not have a new agreement in place, JEMSU™ is not responsible for completing any of the revisions requested by the Client. If a Client is unhappy with the completed design of their webpage, JEMSU™ may choose to make additional revisions or changes to the website at JEMSU’s discretion. Once ownership of the website is accepted by the Client, additional changes or updates will require additional work agreements for any work completed.
Milestones and Project Completion. This project is scheduled be completed on or before the date indicated on line [5A] of the proposal. JEMSU™ will complete bi-weekly “check-ins” or updates with the Client to ensure the work requested is progressing appropriately. If the website project is not completed within 5 business days of the date above due to reasons within the control of JEMSU™, a discount of 5% per week will be applied to the total price of the website, not to exceed 50% of the original price.
Modifications by a Third Party or Client. JEMSU™ is only responsible for the work they complete. If for any reason a third party causes damage, interruption, or errors to the website or it’s functionality elements, JEMSU™ will not be held responsible for these damages. JEMSU™ will modify or correct these changes or errors at a standard rate of $100/hr with the Clients’ prior approval. When possible, JEMSU™ will attempt to give a good faith estimate of diagnosis and repair time before work is started.
Warranty and Technical Support. JEMSU™ agrees to maintain and manage the approved website for 14 days, free of charge (except for modifications made by a Third Party or Client). Ongoing maintenance may be purchased as need at a rate of $100/hr, or as otherwise negotiated. It is not the responsibility of JEMSU™ to maintain plugins, or other features of the site which require updating and maintenance, unless indicated in this agreement.
Payment Terms. 50% of the signed proposal’s total amount will be due up front to begin work. The remaining balance shall be due in full on or before scheduled end date on line [5A] of the proposal, or upon completion and delivery of the website, whichever comes first. In the event of a deadline delay within JEMSU’s control, the final payment will be due in full upon delivery of the completed website less any applicable late discounts, as described above. Payments may be made in the form of a check, cash, or credit.
JEMSU™ SEARCH ENGINE OPTIMIZATION CONTRACT
Warranties & Guarantees. JEMSU™ has decades of combined Search Engine Optimization (SEO) experience; however due to the nature of industry, we are unable to make any guarantees or warranties regarding SEO services. Search engine algorithms consist of a large number of ever-changing variables; of which JEMSU™ is able to manipulate a handful of them to offer the target URL a higher likelihood of being considered more relevant by search engines for industry/market-related keywords. While JEMSU™ will make every reasonable effort to achieve the desired visibility results based upon our past experience and expertise, however JEMSU™ does not control search engine algorithm updates, manual or automatic penalty assessments (past or present), link delusion and removal, or relative competition. As such, no warranty or guarantee of rankings applies.
Liability. JEMSU™ uses a wide variety of link generation techniques from a several different sources and techniques. We go to great lengths to mange what links and content are related to a client’s URL and strive to use 100% unique content, images, and video. Even so, links or content are sometimes developed to a client’s URL by parties outside of our control. JEMSU™ may not be held liable for links or content generated from a 3rd party site.
Payment Terms. Due to the permanent nature of the results, monthly Search Engine Optimization (SEO) services will be due in full prior to services being performed. Client fees will be equal to the amount listed in section [2A] of the Agreement, and payable for the duration listed in section [7A] of the Agreement.
Termination & Default Payments. Unless expressly authorized in writing, either the Client or JEMSU™ may terminate their working relationship at any time after the initial contract duration has expired. The terminating party must give a thirty (30) days written notice to the other party. Any outstanding invoices are due in full upon termination of the working relationship. Any invoices more than thirty (30) days past due may be sent to a collection agency.
Attorney & Collection Fees: In any action incurred to enforce this contract or defend services provided according to the contract, the “Client” will be responsible for all attorney fees and collection cost.
